1. Acceptance of Terms
Thank you for using MTNU's APIs, other developer services, and associated software (collectively, "APIs"). By accessing or using our APIs, you are agreeing to the terms below. If there is a conflict between these terms and additional terms applicable to the service, the additional terms will control for that conflict. Collectively, we refer to the terms below, any additional terms, terms within the accompanying API documentation, and any applicable policies and guidelines as the "Terms." You agree to comply with the terms and that the terms control your relationship with us. So please read all the terms carefully. If you use the APIs as an interface to, or in conjunction with other MTNU products or services, then the terms for those other products or services also apply (including the Privacy Policy, Brand Guidelines, and general Terms of Service, which are incorporated here by reference).
Under the Terms, MTN or "MTNU" means MTN Uganda Limited, Plot 1-4 Nyonyi Gardens, Kololo, Kampala, Uganda unless set forth otherwise in additional terms applicable for a given API. We may refer to "MTNU" as "we", "our", “Licensee” or "us" in the Terms. You may be referred to as “Licensee”.
2. Key Definitions
Application - Any software application, website, or product you create or service you offer using the MTNU API (defined below).
API Documentation - The documentation, data and information that MTNU provides regarding the use of the MTNU API through the Developer Site and any information obtained from You through the API application and registration process.
Data - means any data and content uploaded, posted, transmitted or otherwise made available by users via the Services, including messages, files, comments, profile information and anything else entered or uploaded into the Service by a user of the Service.
Developer Site - MTNU's Developer site found at https://momodeveloper.mtn.com
MTNU API or “our API” - The publicly available MTNU Application Programming Interface (“API”) as well as the related API Documentation which may include object code, software libraries, software tools, sample source code, published specifications and Documentation. API shall include any future, updated or otherwise modified version(s) thereof furnished by MTN (in its sole discretion) to you.
MTNU Brand - The MTNU brand and brand assets, including but not limited to names, logos, trade names and trademarks.
Service(s) - MTNU's real-time communication, messaging, archiving and search services and related systems and technologies, as well as the website https://momodeveloper.mtn.com/ (the “Site”), and all software, applications, data, reports, text, images, and other content made available by or on behalf of MTNU through any of the foregoing. The “Service” does not include Data or any software application or service that is provided by you or a third party (including Applications), whether or not MTNU designates them as “official integrations”. MTN makes no representation or warranty concerning third party software and shall have no obligation or liability with respect to third party software.
3. Capacity to use the Service
3.1 You may not use the APIs and may not accept the Terms if (a) you are not of legal age to form a binding contract with MTNU, or (b) you are a person barred from using or receiving the APIs under the applicable laws of the Republic of Uganda or other countries including the country in which you are resident or from which you use the APIs.
3.2 If you are using the APIs on behalf of an entity, you represent and warrant that you have authority to bind that entity to the Terms and by accepting the Terms, you are doing so on behalf of that entity (and all references to "you" in the Terms refer to that entity).
4. Registration
In order to access certain APIs you may be required to provide certain information (such as identification or contact details) as part of the registration process for the APIs, or as part of your continued use of the APIs. Any registration information you give to MTNU will always be accurate, you should be able to provide the original copies at anytime and up to date and you'll inform us promptly of any updates and will form part of the API documentation.
5. 5.Use of MTN APIs, MTNU Data and Prohibitions
5.1 You may not use the MTNU API or any other technology in a manner that accesses or uses any information beyond what MTNU allows under the API Documentation; that changes the Service; that breaks or circumvents any of MTNU’s technical, administrative, process or security measures; that disrupts or degrades the performance of the MTNU Service or the MTNU API; or that tests the vulnerability of MTNU’s systems or networks.
5.2 You will only access (or attempt to access) an API by the means described in the documentation of that API. If MTNU assigns you developer credentials (e.g. client IDs), you must use them with the applicable APIs. You will not misrepresent or mask either your identity or your API Client's identity when using the APIs or developer accounts
5.3 You will require your end users to comply with (and not knowingly enable them to violate) applicable law, regulation, and the Terms.
5.4 You will comply with all applicable law, regulation, and third party rights (including without limitation laws regarding the import or export of data or software, privacy, and local laws). You will not use the APIs to encourage or promote illegal activity or violation of third party rights. You will not violate any other terms of service with MTNU (or its affiliates).
5.5 You may not transmit any viruses or other computer programming that may damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system or data.
5.6 You shall have no rights to any source code for any of the software in the API, except for the explicit rights to use the source code as provided to Licensee hereunder. You may not reverse engineer, decompile, modify, disassemble, derive source code, trade secrets, or know-how in the MTNU API or portion thereof or otherwise reduce the API to updates, upgrades, bug fixes or modifications to the MTNU API.
